Sponsorship Terms & Conditions

The binding agreement governing all Trident Tri sponsorships and vendor participation.

1. Agreement to Sponsor

By submitting the Trident Tri Sponsorship Application and checking the "I agree to the terms and conditions" box, the applying business or organization ("Sponsor") agrees to be bound by these Terms and Conditions. This agreement constitutes a binding, legally enforceable contract between the Sponsor and Trident Tri ("Organizer").

2. Sponsorship Benefits & Deliverables

Upon full execution of this agreement and receipt of payment, Organizer agrees to provide the Sponsor with the specific benefits outlined in their partnership package, which includes:

  • 10x10 site for your booth at Mission County Park on race day.
  • Logo placement on all event fliers (Social Media & Printed).
  • Free subscription on Datnova.
  • Company logo and description featured on the Trident Tri website.
  • Physical company name banner placement on the race course.
  • Dedicated company logo Trident Tri social media reel.

3. Financial Terms & Payment

Sponsorship and vendor fees are due in full upon application approval and receipt of the official invoice. Organizer will not execute promotional deliverables, secure the 10x10 booth space, or order physical banners until payment is rendered in full. All sponsorship payments are final and non-refundable, subject to the event cancellation terms below. Trident Tri operates as an event Benefiting the Mission Trails, but Organizer makes no warranties regarding the specific tax-deductible status of the Sponsor’s payment. Sponsors are solely responsible for consulting with their own independent tax or legal professionals regarding the deductibility of this marketing expense.

4. Event Cancellation & Rescheduling (Force Majeure)

Trident Tri reserves the right to cancel, postpone, or modify the event due to severe weather, acts of God, natural disasters, public health emergencies, city permitting revocations, or other circumstances beyond the Organizer's reasonable control.

In the case the event needs to be canceled on its original scheduled date, Trident Tri guarantees that the event will be rescheduled and held within the current calendar year. All sponsorships, vendor booth reservations, and promotional deliverables will automatically transfer and be fully honored for the new rescheduled date. Because the event will be completed within the current calendar year, no refunds will be issued to Sponsors in the event of a postponement or cancellation of the original date.

5. Intellectual Property & Brand Usage

Sponsor grants Trident Tri and its official partners (including Datnova) a non-exclusive, worldwide, royalty-free license to use the Sponsor’s trademarks, trade names, logos, and provided descriptions strictly for the purposes of event promotion, marketing materials, and website display. Organizer reserves the right to determine the final placement, size, and formatting of Sponsor logos to align with the event's brand standards.

6. Vendor Booth & Onsite Liability

Sponsors utilizing the 10x10 booth space at Mission County Park are solely responsible for their own setup, teardown, staffing, and securing of their property.

  • Compliance: Sponsors must comply with all rules, regulations, and ordinances of Mission County Park, the City of San Antonio, and the San Antonio River Authority.
  • Liability: Organizer assumes no responsibility for lost, stolen, or damaged property belonging to the Sponsor, its employees, or its representatives.
  • Indemnification: Sponsor agrees to indemnify, defend, and hold harmless Trident Tri, Datnova, the San Antonio River Authority, the City of San Antonio, and all event volunteers and staff from and against any claims, damages, liabilities, and expenses (including legal fees) arising out of the Sponsor’s participation in the event, the operation of their booth, or the actions/negligence of the Sponsor’s personnel at the event site.

7. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas. Any legal action or proceeding arising out of this Agreement shall be brought exclusively in the courts located in Bexar County, Texas.
